and sufficiency of which are hereby acknowledged by you. Bagel Bites®
snacks and its designees shall be entitled (but not obligated) to use your
submitted materials for any purpose that Bagel Bites®
snacks and its designees deem appropriate in their sole discretion, without
compensation to you.
Second, Bagel Bites® snacks and its affiliated
company shall own all right, title and interest in any submitted materials
(including any associated intellectual property rights), and you hereby assign
such right, title and interest to Bagel Bites® snacks
and its affiliated company without compensation to you. By submitting
materials, you hereby represent and warrant that you have the authority to
grant such rights to Bagel Bites® snacks.
Finally, you agree neither to assert nor to cause or encourage others to assert
against Bagel Bites® snacks or its designees any
claim based on misappropriation, infringement, confidential relationship,
implied contract or otherwise arising out of any use by Bagel Bites®
snacks or its designees of any submitted materials.
